Setting up a company in Shanghai Waigaoqiao Free Trade Zone in China
Japanese company
Management of tasks required for setting up a company in China, from company registration to actual start-up. Noto Corporation has conducted the registration process of a Japanese wholly-owned company in the Shanghai Waigaoqiao Free Trade Zone in collaboration with an accounting company. We also designed the wage structure, performance rating rules, employee welfare benefit plan, and employment regulations that were set after the company was established.

Setting up the priorities of tasks required for starting up a new business venture

Noto Corporation resolved the chaotic situation in the company, which required a number of tasks to be implemented and also, specific marketing targets were not decided at the time of starting a new business operation. After we interviewed the company’s key personnel, we visited the customers, performed market analyses, and prepared business plans.
We have successfully restructured the business and performed market research to narrow down specific marketing targets.
Expansion of sales and penetration of made-in-Japan products in the Chinese market
Machine tool division of local subsidiary of Japanese company
To start a new business in China, we had to perform the following tasks: 1) offering advice for overall business operations from hiring personnel (interviewing and hiring personnel, and drawing up employment contracts) to providing education/training (analyzing the specific training plan and sending new recruits to Japan); 2) designing sales plans (determining market segments and designing sales strategies); 3) calculating the cash flow that takes place when sales starts (cash payments for goods purchased, cash received from sales, and payment of value added tax and income tax); and 4) breaking down the sales strategies into detailed levels of operation.
Total sales of the machine tool division to Chinese companies improved to JPY600,000,000 (JPY1.9 billion in sales to Chinese and Japanese-owned companies in China).
Providing solutions for the rising labor cost in China

Noto Corporation 1) introduced a target management method and interview system for determining the wages of employees, and 2) classified the personnel performance rating into levels A to D. At the same time, we determined the amount of allowance funds by calculating the annual sales and next fiscal budget. Next, we set the yearly wage standard by taking into consideration the minimum wage announced by the local municipal government and a survey of the rate of average wage increase in the companies in the area.

Liquidation of company for withdrawal of local operations
Local subsidiary of Japanese company in China
Noto Corporation handled the withdrawal of an unprofitable company and its affiliated local accounting firm from China. To accomplish this task, we conducted negotiations about personnel cuts and wage issues that were settled on an individual basis. We determined the exact withdrawal timing and formulated exit strategies (negotiating with dealers for provision of after-sales service). We also managed the progress statuses of tasks such as notifying the local authorities about the liquidation and cancellation of tax registration at the tax office.
It is known that withdrawal of a company from China is difficult. We were able, however, to complete all liquidation procedures in about 18 months.

Selection of Investment destination in Japan and the formation of investment funds
Successfully selected solar generator system as a investment destination in Japan by East Coast Furnitech, PCL.(which is listed as a stock at stock exchange of Thailand).
Accomplished the formation of funds for this investment, also acted as a coordinator of construction of solar generator system in Himeji, Japan. At the meantime, Noto corporation itself also invested capital into this project as a partner in Japan.
Japanese company considering investment in Thailand and Indonesia
Noto Corporation used its local network connections to research the product prices and scale of sales of rival companies in Thailand. At the same time, we provide local marketing support to target customers of the client company in Thailand.
Japanese company in the decision-making stage for investment in Thailand and requiring consultation on other issues
Noto Corporation conducted research on local culture, needs, and pricing and feedback to the client. We compiled a feasibility study report for setting up a company and assisted in the decision-making of the company’s investment in Thailand.
